Proprietary Databases definition

Proprietary Databases means any material non-public proprietary database or information repository that is owned by or licensed to the Company or any Subsidiary or with respect to which the Company or any Subsidiary is authorized or granted rights under or to.
Proprietary Databases means any material non-public proprietary database that is owned by Parent or any Subsidiary or that Parent or any Subsidiary is licensed, authorized or otherwise granted rights under or to, and that is used by Parent or any other Person to manufacture, develop, import, market, promote, advertise, offer for sale, sell, use and/or otherwise distribute a Product.
Proprietary Databases means all proprietary databases and data compilations (including the database known as the “Counter Threat Platform Very Large Database”) and all documentation relating to the foregoing owned by Parent and used exclusively in the Spyglass Business.

  • To the knowledge of the Companies, the Proprietary Software and the Proprietary Databases do not contain any material programming errors or Harmful Code.

  • The Company has not entered in any escrow or other agreements with any Person granting access to any Company Software and Proprietary Databases.

  • At the request of the Administrative Agent, the Loan Parties shall deliver to the Administrative Agent schedules (which shall be updated with such frequency as the Administrative Agent may reasonably require) listing all computer hardware and operational software (specifying, among other things, the current versions thereof) utilized by the Loan Parties to maintain and operate such Proprietary Databases and Proprietary Software.

  • To the Company’s Knowledge, the Proprietary Software and Proprietary Databases perform in accordance with their specifications and documentation and do not contain, and the Company and its Subsidiaries have commercially reasonable policies and procedures to ensure they remain free from, any substantial or material programming errors, any security vulnerabilities, or any Harmful Code.

  • The Proprietary Software and Proprietary Databases are free from any (i) defect or bug, or programming, design or documentation error that would have a material effect on the use of the Proprietary Software or Proprietary Databases and (i) Contaminants.

  • Neither Acquiror nor Nxu Tech has entered in any escrow or other agreements with any Person granting access to any Acquiror and Nxu Tech Software and Proprietary Databases.

  • With the exception of the escrow agent under any Escrow Agreement and other than outsourcing to third parties in the ordinary course of business for development, manufacturing and distribution projects, the Loan Parties shall not permit any vendor or other third party to gain control over, or possession of, its most current Proprietary Databases and Proprietary Software and shall maintain such Proprietary Databases and Proprietary Software at all times in accordance with the Escrow Agreement.

  • To the Loan Parties’ knowledge the Websites, Proprietary Databases and Proprietary Software which are material to the business of the Borrower and its Subsidiaries taken as a whole are, in each case, materially free of all Malicious Code.


More Definitions of Proprietary Databases

Proprietary Databases means any material non-public proprietary database that is owned by any Transaction Party or that any Transaction Party is licensed, authorized or otherwise granted rights under or to as of the Closing Date, or subsequent thereto.

  • Proprietary Data means Data embodying trade secrets developed at private expense or commercial or financial information that is privileged or confidential, and that includes a restrictive notice, unless the Data is: a. known or available from other sources without restriction; b. known, possessed, or developed independently, and without reference to the Proprietary Data; c. made available by the owners to others without restriction; or d. required by law or court order to be disclosed.

  • Proprietary means goods or services of a specialized nature, that may be made or marketed by a person or persons having the exclusive right to make or sell them, when the need for such goods or services has been certified in writing by the Board to be necessary for the conduct of its affairs.

  • Company Proprietary Software means all Software owned by the Company.

  • Customer Information means any information contained on a customer’s application or other form and all nonpublic personal information about a customer that a Party receives from the other Party. Customer Information shall include, but not be limited to, name, address, telephone number, social security number, health information, and personal financial information (which may include a Masterworks user account number).

  • Customer's Confidential Information means all Personal Data and any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, know-how, personnel, and suppliers of the Customer, including all IPRs, together with all information derived from any of the above, and any other information clearly designated as being confidential (whether or not it is marked "confidential") or which ought reasonably be considered to be confidential;

  • Proprietary Technology means the technical innovations that are unique and

  • Trade Secret Information means all information, regardless of the form or medium in which it is or was created, stored, reflected or preserved, that is not commonly known by or generally available to the public and that: (i) derives or creates economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use; and (ii) is the subject of efforts that are reasonable under the circumstances to maintain its secrecy. The Company’s Trade Secret Information may include, but is not limited to, all confidential information relating to or reflecting the Company’s research and development plans and activities; compilations of data; product plans; sales, marketing and business plans and strategies; pricing, price lists, pricing methodologies and profit margins; current and planned incentive, recognition and rewards programs and services; personnel; inventions, concepts, ideas, designs and formulae; current, past and prospective customer lists; current, past and anticipated customer needs, preferences and requirements; market studies; computer software and programs (including object code and source code); and computer and database technologies, systems, structures and architectures. You understand that Confidential Information and/or Trade Secret Information may or may not be labeled as such, and you shall treat all information that appears to be Confidential Information and/or Trade Secret Information as confidential unless otherwise informed or authorized by the Company. Nothing in this Agreement shall be construed to mean that Company owns any intellectual property or ideas that were conceived by you before you commenced employment with Company and which you have previously disclosed to the Company. Subject to Section 4.3(b), nothing in this Section 4.3(a) shall prevent you from complying with a valid legal requirement (whether by oral questions, interrogatories, requests for information or documents, subpoena, civil investigative demand or similar process) to disclose any Confidential Information or Trade Secret Information.

  • Proprietary Marks shall have the meaning as set forth in Section 24.01.

  • Business Confidential Information has the meaning set forth in Section 5.04(a).

  • Confidential and Proprietary Information means any information that is classified as confidential in the Firm’s Global Policy on Confidential Information or that may have intrinsic value to the Firm, the Firm’s clients or other parties with which the Firm has a relationship, or that may provide the Firm with a competitive advantage, including, without limitation, any trade secrets; inventions (whether or not patentable); formulas; flow charts; computer programs; access codes or other systems information; algorithms; technology and business processes; business, product or marketing plans; sales and other forecasts; financial information; client lists or other intellectual property; information relating to compensation and benefits; and public information that becomes proprietary as a result of the Firm’s compilation of that information for use in its business, provided that such Confidential and Proprietary Information does not include any information which is available for use by the general public or is generally available for use within the relevant business or industry other than as a result of your action. Confidential and Proprietary Information may be in any medium or form, including, without limitation, physical documents, computer files or discs, electronic communications, videotapes, audiotapes, and oral communications.

  • Proprietary mark or “brand” means the mark or brand of a product which is owned by an industrial firm;

  • Contractor's Confidential Information means any information, however it is conveyed, that relates to the business affairs, developments, trade secrets, know-how, Contractor’s Personnel and suppliers of the Contractor, including IPRs, together with all information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential, including the Commercially Sensitive Information.

  • Customer Confidential Information means Confidential Information of the Customer provided to Computershare.
