Proprietary Parts definition

Proprietary Parts means those parts manufactured and/or branded by Workhorse and/or available exclusively through Workhorse or its exclusive provider including, but not limited to, any form fitted motor gears, sensors, glass, paneling, power control, batteries and suspension parts. The list of Proprietary Parts as well as associated costs will be provided by Workhorse to Ryder within 30 days of the date hereof. As the design of the Workhorse Vehicles evolve, Workhorse may increase the types of Proprietary Parts it exclusively supplies; provided, that Workhorse agrees to notify Ryder immediately of any such new Proprietary Parts that will be supplied exclusively by Workhorse. For the avoidance of doubt, Proprietary Parts will not include items such as, but not limited to, tires, wiper blades, lights and interior trim/seating. Services Partner Agreement – 2
Proprietary Parts means those parts, used in video games, that are subject to any Midway patent, trademark, copyright or other intellectual property rights or manufactured on a tool or die designed for and/or paid for by Midway.

  • In the event of any inconsistency between this Exhibit “H” and the “Spare Parts Price Catalog” or the “Airbus Proprietary Parts Repair Guide” or the “Tools for Loan Catalog” or any order placed by the Buyer, this Exhibit “H” shall prevail to the extent of such inconsistency.

  • The material support provided hereunder covers Seller's supply, repair and modification of and documentation for all Proprietary Parts and the lease of Insurance Items.

  • The terms and conditions of the purchasing of said Leased Parts shall be as published by the Lessor in the then current version of the Airbus Proprietary Parts Repair Guide.

  • Midway shall sell or arrange for the sale of Proprietary Parts to WEG at such cost as the parties shall agree.

  • Ryder agrees not to solicit or try to solicit aftermarket Proprietary Parts outside of Workhorse.

Related to Proprietary Parts

  • Proprietary Data means Data embodying trade secrets developed at private expense or commercial or financial information that is privileged or confidential, and that includes a restrictive notice, unless the Data is:

  • Proprietary Materials means tangible chemical, biological or physical materials (a) that are furnished by or on behalf of one Party to the other Party in connection with this Agreement, whether or not specifically designated as proprietary by the transferring Party or (b) that are otherwise conceived or reduced to practice in the conduct of the Research Collaboration.

  • Proprietary and Confidential Information means trade secrets, confidential knowledge, data or any other proprietary or confidential information of the Company or any of its affiliates, or of any customers, members, employees or directors of any of such entities, but shall not include any information that (i) was publicly known and made generally available in the public domain prior to the time of disclosure to Executive by the Company or (ii) becomes publicly known and made generally available after disclosure to Executive by the Company other than as a result of a disclosure by Executive in violation of this Agreement.   • Proprietary means goods or services of a specialized nature, that may be made or marketed by a person or persons having the exclusive right to make or sell them, when the need for such goods or services has been certified in writing by the Board to be necessary for the conduct of its affairs.

  • Proprietary Information shall have the same meaning as Confidential Information.

  • Confidential and Proprietary Information means any information that is classified as confidential in the Firm’s Global Policy on Confidential Information or that may have intrinsic value to the Firm, the Firm’s clients or other parties with which the Firm has a relationship, or that may provide the Firm with a competitive advantage, including, without limitation, any trade secrets; inventions (whether or not patentable); formulas; flow charts; computer programs; access codes or other systems information; algorithms; technology and business processes; business, product or marketing plans; sales and other forecasts; financial information; client lists or other intellectual property; information relating to compensation and benefits; and public information that becomes proprietary as a result of the Firm’s compilation of that information for use in its business, provided that such Confidential and Proprietary Information does not include any information which is available for use by the general public or is generally available for use within the relevant business or industry other than as a result of your action. Confidential and Proprietary Information may be in any medium or form, including, without limitation, physical documents, computer files or discs, electronic communications, videotapes, audiotapes, and oral communications.

  • Confidential Information has the meaning set forth in Section 6.1.

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.

  • Confidential Materials means all tangible materials containing Confidential Information, including without limitation written or printed documents and computer disks or tapes, whether machine or user readable.

  • Company Proprietary Software means all software owned by the Company and its Subsidiaries.

  • Information Technology Systems means all information technology systems, Software, computers, workstations, databases, routers, hubs, switches, networks and other information technology equipment used or held for use in, or otherwise relating to, the Business.
