Proprietary Products means the products, such as including but without limitation, all user manuals, reference manuals and other documentation and materials relating thereto; and any derivative works, foreign language versions, fixes, upgrades, updates, enhancements, new versions or previous versions thereof.

Proprietary Products means any kit, composition of matter, material, or product containing a Biological Product, the manufacture, use, or sale of which in a particular country is not within an unexpired, valid claim of a patent or a pending claim of a patent application under Patent Rights in such country.

• For any payment owed by the Franchisee to the Franchisor due to the purchase orders placed with the Franchisor in relation to the Proprietary Products, the Franchisor shall include such amount in the Invoice, stating (i) name of the Proprietary Products ordered, (ii) the quantity of the same and (iii) the total amount payable by the Franchisee to the Franchisor.

• From time to time, the Franchisor will designate certain Proprietary Products as appropriate for the Franchisee’s use in the operation of the relevant courses in the Franchised Center.

• Depending on the demand of the Franchised Center, the Franchisee shall only place purchase orders with the Franchisor in relation to these Proprietary Products.

• The Franchisee is not allowed to source any of the Proprietary Products from other parties other than the Franchisor and no copies (tangible or intangible copies) shall be made in relation to any of the Proprietary Products.

• In circumstances where the business performance of the Franchised Center was poor and has recorded a loss on its management accounts for a period of 6 months consecutively, despite the Franchisee’s best endeavor to run the business of the Franchise Center in conformity with all requirements of the System, standards, Specifications, Proprietary Products, Local Advertising etc.., the Franchisor may, in its sole discretion waive or reduce the monetary penalty amount.

More Definitions of Proprietary Products

Proprietary Products means any product that is (a) manufactured or otherwise produced by a third-party in accordance with the applicable Franchise Entity’s specifications, (b) purchased by such Franchise Entity from such third-party manufacturer and (c) sold by such Franchise Entity to Proprietary Product Distributors (for distribution to Franchisees and Non-Securitization Entities for use at Branded Restaurants).

Proprietary Products. We will earn higher fees, compensation, and other benefits when you invest in a product that we (or one of our affiliates) advise, manage, or sponsor, such as a mutual fund or structured CD. As such, we have an incentive to recommend (or to invest your assets in) those products over third- party products.

Proprietary Products means products or services we develop or designate which are: (i) unique to us because of their (a) ingredients, (b) formulas, (c) manufacturing or distribution processes, or the manner in which they are presented or marketed to consumers; and (ii) which we support and control through (a) trademarks and/or packaging that bears one or more trademarks, any of which are owned by or licensed to us, (b) copyrights, (c) quality control, and/or (d) advertising.. The currently required Proprietary Products are listed on Exhibit G to this Agreement.

Proprietary Products means food products, beverages, packaging and other items that are produced or manufactured strictly in accordance with the JINYA Ramen Bar Trade Secrets or that Franchisor or its Affiliates otherwise designate as proprietary.

ARelated Property@ means all tangible and intangible property owned by, or licensed to, or otherwise used by me in connection with network data security, including, without limitation, ideas, concepts, projects, programs, computer software or hardware, data bases, specifications, documentation, algorithms, source codes, object codes, program listings, product platforms and architectures, concepts, screens, formats, technology, know-how, Developments, research and development and patents, copyrights, trademarks, trade names, service names, service marks, logos and designs and other proprietary rights and registrations and applications and the rights to apply therefor. ADevelopments@ means discoveries, inventions, concepts, ideas, designs, methods, formulas, know-how, techniques, systems or any improvements or enhancements thereon, whether or not patentable or copyrightable, made, conceived, improved or developed, in whole or in part, by me relating to network data security. ADocuments@ means any and all books, textbooks, letters, pamphlets, drafts, memoranda, notes, records, drawings, files, documents, manuals, compilations of information, correspondence or other writings of any kind and all copies, abstracts and summaries of any of the foregoing, whether in printed, written or electronic data or any machine readable form: (i) of mine; or (ii) in my possession or control and pertaining to, and used in the furtherance of, network data security.

Proprietary Products means Products produced according to the Company's formulations and specifications, other than specifications relating to the health and safety of the consumer of such Products.
