Proxy Holder definition

Proxy Holder has the meaning set forth in Section 3.5(b).
Proxy Holder means a Member School designated in accordance with these Bylaws to attend a General Meeting and to exercise voting rights on behalf of another Member;
Proxy Holder means the Chairman of the Board, as shall be in office from time to time or any other person designated by the Board to act as proxy holder.

  • The vote of a Proxy Holder shall control in any conflict between a vote of such Stockholder Shares by a Proxy Holder and a vote of such Stockholder Shares by Stockholder with respect to the matters set forth in Section 4(a) hereof.


More Definitions of Proxy Holder

Proxy Holder means an individual who is appointed as a member’s proxy in accordance with the Bylaws;
