Pubco Shares definition
Pubco Shares means all classes and series of common stock of PubCo, including the Class A Shares and the Class B Shares.
Pubco Shares means fully paid and non-assessable common shares of Pubco to be issued to the Selling Shareholders by Pubco upon Closing on the basis of 10 Priveco Share for 12,380,951 Shares;

Notwithstanding anything to the contrary contained herein, no fraction of a Pubco Share will be issued by Pubco by virtue of this Agreement or the Transactions, and each Person who would otherwise be entitled to a fraction of a Pubco Share (after aggregating all fractional Pubco Shares that would otherwise be received by such Person) shall instead have the number of Pubco Shares issued to such Person rounded up in the aggregate to the nearest whole Pubco Share.
