Subscription Shares definition

Subscription Shares has the meaning ascribed to it in Section 2.1.

Subscription Shares means the 6,828,985 Shares that were issued by the Company and subscribed for by the Investor on the Reference Date pursuant to the Subscription Agreement.

The consideration for the Subscription Shares shall be paid within fifteen(15) business days upon the satisfaction of the Condition Precedent.

This Agreement constitutes the entire understanding and agreement between the parties hereto and no representations or warranties express or implied or otherwise, made by or on behalf of any part to the other or others in connection with or arising out of the subscription of the Subscription Shares and which are not contained or referred to in this Agreement or any exhibits, shall give rise to any liability on the part of the maker or makers thereto.

Subscription Shares means, collectively, the Senior Preferred Shares issued or issuable to each Investor at or prior to the relevant Closing pursuant to the Subscription Agreement (including 58,258,083 Senior Preferred Shares issued to Joy Capital prior to the First Closing, which shall form part of the Senior Preferred Shares subscribed by Joy Captial at the First Closing under the Subscription Agreement), and the Senior Preferred Shares issued or issuable upon exercise of the Warrants.
