Public Sales definition

Public Sales means Transfers on the stock exchange on which the Ordinary Shares are traded at such time, including, without limitation, in open market transactions, sales through the framework of an accepted “blind trustee” in relation to the sale of shares by interested parties in certain periods or in accordance with Rule 144 under the Securities Act of 1933.
Public Sales means any sale of Common Stock pursuant to (i) an effective Registration Statement filed under the Securities Act, (ii) Rule 144 under the Securities Act, or (iii) any other sale into the public market for which a Registration Statement is not required.
Public Sales has the meaning ascribed to such term in Section 13 of this Agreement;

Examples of Public Sales in a sentence

  • Shareholder may Transfer any Class B Shares in one or more Widely Disbursed Public Sales.

  • For Public Outlets Public Sales Outlets sell fare media to the general public and receive a 4% commission.

  • For the year beginning on the second anniversary of the Effective Date and ending on the third anniversary thereof, the Executive may sell in Public Sales the greater of (i) 30% of the shares of Executive Securities held by the Executive on the Effective Date and (ii) the percentage of CHS Shares sold by the CHS Group during such 12 month period.

  • Following the Restricted Period, Stockholder may Transfer any Class B Shares in one or more Widely Disbursed Public Sales.

  • For the year beginning on the third anniversary of the Effective Date and ending on the fourth anniversary thereof, the Executive may sell in Public Sales the greater of (i) 30% of the shares of Executive Securities held by the Executive on the Effective Date and (ii) the percentage of CHS Shares sold by the CHS Group during such 12 month period.

  • For the year beginning on the fourth anniversary of the Effective Date and ending on the fifth anniversary thereof, the Executive may sell in Public Sales the greater of (i) 40% of the shares of Executive Securities held by the Executive on the Effective Date and (ii) the percentage of CHS Shares sold by the CHS Group during such 12 month period, and thereafter no restrictions under this Section 5 shall apply.

  • For the year beginning on the third anniversary of the Effective Date and ending on the fourth anniversary thereof, the Trust and the Executive may sell in Public Sales, in the aggregate, the greater of (i) 30% of the shares of Executive Securities held by the Trust or the Executive on the Effective Date and (ii) the percentage of CHS Shares sold by the CHS Group during such 12 month period.

Related to Public Sales

  • Public Sale means any sale pursuant to a registered public offering under the Securities Act or any sale to the public pursuant to Rule 144 promulgated under the Securities Act effected through a broker, dealer or market maker.

  • Public Equity Offering means an underwritten primary public offering of Common Stock of the Company pursuant to an effective registration statement under the Securities Act.

  • Public Key means the key of a key pair used to verify a digital signature and listed in the Digital Signature Certificate;

  • SEC Rule 144 means Rule 144 promulgated by the SEC under the Securities Act.

  • Public Shares means the Ordinary Shares included in the Units issued in the Public Offering; (vi) “Trust Account” shall mean the trust account into which a portion of the net proceeds of the Public Offering and the sale of the Private Placement Warrants shall be deposited; (vii) “Transfer” shall mean the (a) sale of, offer to sell, contract or agreement to sell, hypothecate, pledge, grant of any option to purchase or otherwise dispose of or agreement to dispose of, directly or indirectly, or establishment or increase of a put equivalent position or liquidation with respect to or decrease of a call equivalent position within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Commission promulgated thereunder with respect to, any security, (b) entry into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of any security, whether any such transaction is to be settled by delivery of such securities, in cash or otherwise, or (c) public announcement of any intention to effect any transaction specified in clause (a) or (b); and (viii) “Charter” shall mean the Company’s Amended and Restated Memorandum and Articles of Association, as the same may be amended from time to time.
