Purchase Money Notes Defeasance Date definition

Purchase Money Notes Defeasance Date means the date on which the Defeasance Account has been fully funded pursuant to the terms of the Custodial and Paying Agency Agreement (in an amount sufficient to repay all obligations with respect to the Purchase Money Notes in full) such that no further funds are be required to be deposited therein on any subsequent Distribution Date pursuant to the Custodial and Paying Agency Agreement.
Purchase Money Notes Defeasance Date has the meaning given in the LLC Operating Agreement.

  • Defeasance Collateral means: (i) a Xxxxxxx Mac Debt Security, (ii) a Xxxxxx Mae Debt Security, (iii) U.S. Treasury Obligations, or (iv) FHLB Obligations.

  • Purchase Money Note means a promissory note of a Receivables Subsidiary evidencing a line of credit, which may be irrevocable, from the Issuer or any Subsidiary of the Issuer to a Receivables Subsidiary in connection with a Qualified Receivables Financing, which note is intended to finance that portion of the purchase price that is not paid by cash or a contribution of equity.
