Second Lien Notes Documents definition

Second Lien Notes Documents means the Second Lien Notes, the Second Lien Notes Indenture, the Second Lien Notes Security Documents and all other documents executed and delivered with respect to the Second Lien Notes or Second Lien Notes Indenture, as in effect on the Effective Date and as the same may be amended, modified and/or supplemented from time to time in accordance with the terms hereof and thereof.

Second Lien Notes Documents means (a) the Second-Lien Notes Indentures, the Second-Lien Notes, the Second-Lien Notes Collateral Documents and (b) any other related document or instrument executed and delivered pursuant to any Second-Lien Notes Document described in clause (a) above evidencing or governing any Obligations thereunder.

Second Lien Notes Documents means the Second Lien Notes Indenture and all agreements and documents related to the Second Lien Notes Indenture and the Second Lien Notes.

Examples of Second Lien Notes Documents in a sentence

• Subject to the occurrence of the Effective Date, the PropCo First Lien Credit Agreement Documents, PropCo First Lien Notes Documents, and PropCo Second Lien Notes Documents shall constitute legal, valid, and binding obligations of PropCo and its applicable subsidiaries (but not, for the avoidance of doubt, CPLV Sub or CPLV) party thereto and shall be enforceable in accordance with their respective terms.

• On or prior to the Effective Date, the Administrative Agent shall have received true and correct copies of all Second Lien Notes Documents and New Notes Documents.

• All Obligations (as defined in the Prepetition Second Lien Indenture or the other Prepetition Second Lien Notes Documents) of the Debtors shall collectively be referred to herein as the “Prepetition Second Lien Obligations”, and together with Prepetition First Lien Loan Obligations, as the “Prepetition Loan Obligations”.

• The Second Lien Notes Claims shall be Allowed in the aggregate principal amount equal to $625,000,000.00, plus accrued and unpaid interest, fees, costs, and expenses, including any and all reasonable and documented expenses, other obligations, and make-whole amounts (if any) payable pursuant to the Second Lien Notes Documents.

• All requests for payment of an Administrative Claim (other than Claims derived from or based upon the First Lien Loan Documents, the Second Lien Notes Documents, and the Third Lien Notes Documents, Cure Costs, or Professional Fee Claims) that accrued on or before the Effective Date that were not accrued in the ordinary course of business must be filed with the Bankruptcy Court and served on the Debtors no later than the Administrative Claims Bar Date.

More Definitions of Second Lien Notes Documents

Second Lien Notes Documents means the indentures under which the Second Lien Notes are issued and all other instruments, agreements and other documents evidencing or governing the Second Lien Notes or providing for any security, guarantee or other right in respect thereof.

Second Lien Notes Documents means, collectively, the Second Lien Indenture and each agreement, instrument or document executed by the Borrower, any Restricted Subsidiary or any of their respective officers at any time in connection with the Second Lien Notes.

Second Lien Notes Documents means the 2025 Second Lien Notes Documents and the 2029 Second Lien Notes Documents.

Second Lien Notes Documents means the Second Lien Notes Indenture, the Second Lien Notes, the Intercreditor Agreement and each security document or pledge agreement delivered in accordance with applicable local Law to grant a valid, perfected security interest in any property as collateral for the obligations in respect of the Second Lien Notes, and all UCC or other financing statements or instruments of perfection required by the Second Lien Notes Indenture or any other such security document or pledge agreement to be filed with respect to the security interests in property and fixtures created pursuant thereto.

Second Lien Notes Documents means the “Notes Documents” as defined in the Second Lien Note Purchase Agreement.

Second Lien Notes Documents means the Second Lien Indenture and the other Note Documents (as defined in the Second Lien Indenture), and any other document related to or evidencing the obligations thereunder.

Second Lien Notes Documents means the Second Lien Notes (including any Additional Second Lien Notes pursuant to the indenture governing the Second Lien Notes), the Second Lien Notes Guarantees, the Second Lien Notes Indentures and the Security Documents (under and as defined in the Second Lien Notes Indentures).
