Purchase Notice definition

Purchase Notice has the meaning set forth in Section 1.2.

Purchase Notice means an irrevocable written notice from the Company to the Buyer directing the Buyer to buy Purchase Shares pursuant to Section 1(b) hereof as specified by the Company therein at the applicable Purchase Price on the Purchase Date.

• Additionally, Investor shall not consent to accept a Rapid Purchase Notice received less than one and a half (1.5) hours prior to the close of trading on an Eligible Market.

• A Rapid Purchase Notice shall be deemed delivered on the Business Day that the Investor provides written consent of the acceptance of the Rapid Purchase Notice (the “Rapid Purchase Notice Date”).
