Purchased Operations definition

Purchased Operations means the Purchased Assets, the Assumed Liabilities, any other marine vessels and related property, assets or rights acquired after the date hereof by the Owner from the Operators or their Affiliates and any property, assets or rights acquired by the Operators hereunder with Owner funds (or for which they were reimbursed by the Owner).
Purchased Operations means the operations carried on by the Seller on the Closing Date consisting primarily of the ownership, operation and provision of housing accommodation primarily to persons of low or modest income at rentals below the current rental market in Kingston, Ontario, the promotion of awareness and support for non-profit housing in Kingston, Ontario and raising of awareness of qualified tenants of their rights and responsibilities as tenants and as to the support services and awareness available to them.
Purchased Operations in Section 1.1 of the Operating Agreement is hereby amended by deleting the following therefrom: “from the Operators or their Affiliates”

Examples of Purchased Operations in a sentence

  • This Section 8.1 shall not be construed as a limitation on Owner’s ability to carry or maintain or cause to be carried or maintained during the Interim Period automobile liability or other insurance covering liabilities arising out of its ownership of the Purchased Operations or the Services performed by the Operators for the Owner under this Agreement.

  • Upon termination, the Operators shall promptly deliver to the Owner possession and control of the Purchased Operations (including books and records) and any assets of the Owner related thereto or to the Owner’s businesses that are in the possession or under the control of the Operators in such manner and at such locations as the Owner may reasonably specify.

  • Providing the use, support, maintenance (including general hardware/software troubleshooting, training, license/copyright compliance and preventative system maintenance), system backup and recoveries, database management, security administration (including systems procedures and controls documentation) for any technical systems and services related to the operation of the Purchased Operations.

  • Providing such services relating to legal, accounting, human resources, treasury, tax, audit, information technology, finance and financial reporting, accounts receivable and billing and other services as directed by the Owner, from time to time, to facilitate and support the transition of the operation and maintenance of the Purchased Operations from the Operators to the Owner and the Owner’s designee(s).

  • Sellers shall have assigned all --------------------- permits necessary for the operation of the Purchased Operations to Purchaser, including, without limitation, all water permits, in form and substance satisfactory to Purchaser.

  • The pro-forma financial statement of operations represents the direct revenue, cost, expense, and contribution of the Purchased Operations.

  • The Real Property purchased by Purchaser, or that vests in Purchaser due to its acquisition of the partnership interests of Xxxxxx Partnership, and the other Acquired Assets and the personal property held by the Sellers pursuant to leases and licenses comprise all of the real property and personal property used in the conduct of the Purchased Operations.

  • Salvage operation means any business, trade or industry engaged in whole or in part in salvaging or reclaiming any product or material, including but not limited to metals, chemicals, shipping containers or drums.

  • Project Assets means all physical and other assets relating to (a) tangible assets such as civil works and equipment including foundations, embankments, pavements, road surface, interchanges, bridges, culverts, road over-bridges, drainage works, traffic signals, sign boards, kilometre-stones, [toll plaza(s)], electrical systems, communication systems, rest areas, relief centres, maintenance depots and administrative offices; and (b) Project Facilities situated on the Site;
