Purchaser Assumed Benefit Plan definition

Purchaser Assumed Benefit Plan means each Business Benefit Plan or any portion of a Business Benefit Plan (and/or a portion of the Liabilities of such Business Benefit Plan) that is listed on Section 1.1(g) of the Seller Disclosure Letter.
Purchaser Assumed Benefit Plan means each Business Benefit Plan that is contributed to, sponsored, maintained or entered into by Seller or any Selling Subsidiary and that is listed on Schedule 1.1(e) of the Seller Disclosure Letter.

Examples of Purchaser Assumed Benefit Plan in a sentence

  • Effective as of the Closing Date or the Deferred Closing Date, as applicable, each non-Business Employee who is a participant in any Purchaser Assumed Benefit Plan, if any, shall cease to accrue benefits under and be an active participant in any such Purchaser Assumed Benefit Plan.

  • Each Purchaser Employee who is a participant in any Business Benefit Plan that is a defined contribution plan (other than a Purchaser Assumed Benefit Plan or a Conveyed Entity Benefit Plan) (the “Seller Savings Plan”) shall cease to be an active participant in such Business Benefit Plan effective as of the Closing Date.

  • Seller 401(k) Plan shall have the meaning set forth in Section 6.01(i).

  • Parent Benefit Plans has the meaning set forth in Section 5.07(b).

  • Company Employee Plans has the meaning set forth in Section 3.12(a).

  • Seller Plan means any Employee Benefit Plan that is maintained or sponsored by the Seller or any Subsidiaries of the Seller (other than the Companies and their Subsidiaries) for the benefit of any current or former NewCo Employee.
