Purchaser Financing definition

Purchaser Financing has the meaning ascribed to it in Section 5.07.
Purchaser Financing shall have the meaning set forth in Section 4.7(b)
Purchaser Financing means one or more financings by the Purchaser to be completed on or prior to the Effective Date and involving the issuance of subscription receipts of the Purchaser for aggregate gross proceeds of no less than C$35 million, whereby the proceeds of such financing(s), less a portion of the expenses of any underwriters or agents, will be placed into escrow and released immediately prior to, at or immediately after the Effective Time;

  • In the case of any claim resulting from, relating to or arising out of any Purchaser Financing Transaction or the provisions of Section 3.23, the Purchaser shall have right to control the defense thereof at the Indemnifying Party's expense.

Purchaser Financing has the meaning set forth in Section 7.02(n).
Purchaser Financing means the issuance of convertible notes, stock or other instruments or obtaining of other forms of financing, as determined by Purchaser, resulting in a minimum of USD 100 million in net cash available to Purchaser post-financing and post-Closing for working capital purposes.
