Put Notice Date definition

Put Notice Date means the Trading Day, as set forth below, immediately following the day on which the Investor receives a Put Notice, however a Put Notice shall be deemed delivered on (a) the Trading Day it is received by facsimile or otherwise by the Investor if such notice is received prior to 9:00 am Eastern Time, or (b) the immediately succeeding Trading Day if it is received by facsimile or otherwise after 9:00 am Eastern Time on a Trading Day. No Put Notice may be deemed delivered on a day that is not a Trading Day.
Put Notice Date means the Trading Day on which the Investor receives a Put Notice.
Put Notice Date has the meaning set forth in Section 7.09(b).

Examples of Put Notice Date in a sentence

  • If a Registration Default occurs during the period commencing on the Put Notice Date and ending on the Closing Date, the Company acknowledges that its failure to cure such a Registration Default within ten (10) business days will cause the Investor to suffer damages in an amount that will be difficult to ascertain.

  • Subject to the satisfaction of the conditions set forth in Sections 2(E), 7 and 8, the closing of the purchase by the Investor of Shares (a "Closing") shall occur on the date which is no later than seven (7) Trading Days following the applicable Put Notice Date (each a "Closing Date").

More Definitions of Put Notice Date

Put Notice Date means each date the Investor receives (in accordance with Section 2.2(b) of this Agreement) a Put Notice. Company shall notify Investor of its intent to deliver a Put Notice one (1) day before sending it. This one-day notice may be waived in writing by both parties.
