Upon delivery by the Company of a valid Put Notice and satisfaction of terms contained in this Agreement including the foregoing objective conditions (1) through (5), the Investor shall be irrevocably obligated to purchase the Put Amount of Shares specified in such Put Notice.
The “Beneficial Ownership Limitation” shall be 4.99% of the number of shares of the Common Stock outstanding immediately after giving effect to the issuance of shares of Common Stock issuable pursuant to a Put Notice.
The Company shall not deliver to Investor any Put Notice during the continuation of any of the foregoing events in this Section 5.10.
At any time and from time to time during the Commitment Period, except as provided in this Agreement, the Company may deliver a Put Notice to Investor, subject to satisfaction of the conditions set forth in Section 7.2 and otherwise provided herein.
The initial price per share identified in the respective Put Notice shall be equal to the Initial Purchase Price and shall be used for purposes of determining the number of shares of Common Stock that the Company can issue pursuant to a respective Put Notice in accordance with Section 2.1 of this Agreement.
