Put Notice means a written notice sent to the Investor by the Company stating the Put Amount in U.S. dollars that the Company intends to sell to the Investor pursuant to the terms of the Agreement and stating the current number of Shares issued and outstanding on such date.

Examples of Put Notice in a sentence

  • Upon delivery by the Company of a valid Put Notice and satisfaction of terms contained in this Agreement including the foregoing objective conditions (1) through (5), the Investor shall be irrevocably obligated to purchase the Put Amount of Shares specified in such Put Notice.

  • The “Beneficial Ownership Limitation” shall be 4.99% of the number of shares of the Common Stock outstanding immediately after giving effect to the issuance of shares of Common Stock issuable pursuant to a Put Notice.

  • The Company shall not deliver to Investor any Put Notice during the continuation of any of the foregoing events in this Section 5.10.
