Putable Shares definition

Putable Shares means (a) the 613,457 shares of Borrower Common Stock that were subject to repurchase obligations of the Borrower pursuant to contractual arrangements in existence on April 1, 1997, minus (b) any portion of such shares of Borrower Common Stock that are redeemed in the Redemption.
Putable Shares means 50% of the Shares constituting part of the Invested Equity held by the Management Stockholder and his or her Transferees as of the date as of which the Put Right is exercised and 50% of the Rollover Options and Shares acquired pursuant to the exercise of Rollover Options. The price per Share to be paid in such purchase and sale shall be a per Share price equal to the Fair Market Value of a share of Common Stock as of the date on which such right is exercised and the price per Rollover Option to be paid in such purchase and shall be the excess of such Fair Market Value over the Exercise Price of such Rollover Option.
Putable Shares has the meaning set forth in the 1997 Credit Agreement. "PUTABLE SHARE RESERVE FUND" shall mean the amount required for the Guarantor to repurchase the Putable Shares following the Closing Date.

  • During the Put Exercise Period, the Founder Entity shall not, with respect to any potentially Putable Shares, (a) exercise its Conversion Rights (as defined in the Restated Certificate (as defined in the Agreement)) or (b) vote in favor of, or encourage any other shareholder of the Company to vote in favor of, the conversion of Preferred Stock of the Company into Common Stock of the Company pursuant to Section 3.10 of Part B of Article V of the Restated Certificate or otherwise.

  • Available Shares means the number of Shares Counterparty currently has authorized (but not issued and outstanding) less the maximum number of Shares that may be required to be issued by Counterparty in connection with stock options, convertibles, and other commitments of Counterparty that may require the issuance or delivery of Shares in connection therewith.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Applicable Stock means (i) the Company’s presently authorized series of preferred stock specified in the introductory paragraph of this Warrant, (ii) after the conversion of all of the outstanding shares of such series of preferred stock into Common Stock, either automatically or by vote of the requisite holders thereof, the Company’s Common Stock, and (iii) upon any conversion, exchange, reclassification or change, any security into which the securities described in clauses (i) or (ii) of this definition may be converted, exchanged, reclassified or otherwise changed.

  • Series F Preferred Shares means the Series F Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.
