  • If this Non-Returnable System Disk option is not exercised by Customer at time of original purchase then Customer shall indemnify, defend, release and hold harmless Q Associates and NetApp from any and all claims and liabilities of any kind relating to confidential data that may be on a returned System Disk.

  • In consideration of the Charges, Q Associates shall provide the Service and Software Subscription within the Territory.

  • For the avoidance of doubt, the Parties agree that any rights regarding Customer Confidential Information shall exclusively vest in Customer or its licensors and Q Associates shall have no rights to use Customer Confidential Information for any purpose other than for the purpose of providing the Service and Software Subscription.

  • Q Associates shall be entitled to subcontract all or any part of the Service and Software Subscription to a third party (including to NetApp).

  • Covered Associate means any general partner, managing member or executive officer, or other individual with a similar status or function, any employee who solicits a government entity for the investment adviser and any person who supervises, directly or indirectly, such employee.
