If this Non-Returnable System Disk option is not exercised by Customer at time of original purchase then Customer shall indemnify, defend, release and hold harmless Q Associates and NetApp from any and all claims and liabilities of any kind relating to confidential data that may be on a returned System Disk.
In consideration of the Charges, Q Associates shall provide the Service and Software Subscription within the Territory.

For the avoidance of doubt, the Parties agree that any rights regarding Customer Confidential Information shall exclusively vest in Customer or its licensors and Q Associates shall have no rights to use Customer Confidential Information for any purpose other than for the purpose of providing the Service and Software Subscription.
Q Associates shall be entitled to subcontract all or any part of the Service and Software Subscription to a third party (including to NetApp).
