Each non-selling Qualifying Stockholder shall have the right, but not the obligation, to purchase all, but not less than all, of his, her or its Pro Rata share of the Remaining Shares, at the price and on the terms and conditions of the Offer, subject however to the conditions contained in this Section 2.3(d).
