Ratings Limit definition

Ratings Limit means, with respect to any Person, such Person has a long-term credit rating (corporate or long-term senior unsecured debt) of (a)(1) “Baa2” or higher by Moody’s or (2) “BBB” or higher by S&P, or (b) if rated by both Moody’s and S&P, both (a)(1) and (a)(2).

  • The Parties acknowledge and agree that as of the Effective Date, Buyer satisfies the Ratings Limit.
