RC2b Residual Certificates means the 100 RC2b residual certificates issued or due to be issued by the Issuer on the Closing Date or, as the case may be, a specific number thereof;

In such circumstances, the Trustee will have no regard to conflicts as between the RC2a Residual Certificates and the RC2b Residual Certificates and will rely solely on the instructions or resolutions of the RC2 Residual Certificateholders.
