Reasonable Best Efforts; Notification Sample Clauses
The "Reasonable Best Efforts; Notification" clause requires parties to actively and diligently pursue the fulfillment of their contractual obligations, using all reasonable means available. In practice, this means each party must take all necessary steps that a prudent entity would take under similar circumstances, and promptly inform the other party if any issues or obstacles arise that could impact performance. This clause ensures that both parties are committed to achieving the contract's objectives and facilitates transparency by mandating timely communication about potential problems, thereby reducing misunderstandings and helping to resolve issues efficiently.
