Examples of Recognized Agent in a sentence
If Celgene or Pharmion, any of their respective Affiliates or any Recognized Agent shall be individually named as a defendant in a legal proceeding by a Third Party for infringement of a patent because of the manufacture, use or sale of the Product, the party which has been sued (or whose Affiliate or Recognized Agent has been sued) shall promptly notify the other party hereto in writing of the institution of such suit.
Pharmion, its Affiliate or Recognized Agent, as the case may be, shall have the right to be represented by counsel of its own selection, but at its sole expense.
Pharmion, its Affiliate or Recognized Agent, as the case may be, shall provide reasonable cooperation in the defense of such suit and furnish to Celgene all evidence and reasonable assistance within its control.
All costs incurred by Schering in effecting transfer of Existing Marketing Authorizations directly to Pharmion or such designated Recognized Agent (and not to Schering) shall be reimbursed by Pharmion.
In cases where the foregoing procedure is not reasonably practicable, such Marketing Authorizations will first be transferred to Schering and then to Pharmion or any such designated Recognized Agent.
