Recovery Event Proceeds definition

Recovery Event Proceeds shall have the meaning assigned to such term in Section 5.20(a).

Recovery Event Proceeds means any insurance proceeds from any Casualty Event or any condemnation proceeds (or similar recoveries) received by any Parent or any Subsidiary, in each case, net of (a) any reasonable and documented collection expenses and other direct costs incurred in connection therewith (including, without limitation, legal and accounting fees, if applicable), (b) taxes paid or reasonably estimated by the Borrower to be payable by the applicable Loan Party as a result thereof (after taking into account any available tax credit or deduction), and (c) any amount required to be applied to the repayment of any Indebtedness secured by a Lien on the asset subject to the Casualty Event or condemnation (excluding any repayment hereunder).

Recovery Event Proceeds as defined in Section 6.16(a).

Examples of Recovery Event Proceeds in a sentence

• Following completion of any such repair or restoration, any remaining Recovery Event Proceeds may be transferred to the Revenue Account in accordance with the terms of the Depositary Agreement.

• Amounts deposited into the Recovery Event Proceeds Account shall be credited to each subaccount thereof based upon each Owner Lessor's Percentage of such deposited amounts.

• The Facility Lessee shall cause all Revenues and Recovery Event Proceeds and all cash, cash equivalents, instruments, investments and other securities in its possession (excluding amounts received by the Facility Lessee as transfers from the Operating Account or the Distributions Account in accordance with this Agreement) to be delivered immediately to the Collateral Agent for deposit into the Accounts pursuant to Article III.

Recovery Event Proceeds means, with respect to any Recovery Event, the aggregate cash payments received by Holdings or any of its Subsidiaries from such Recovery Event (including any cash payments received in respect of any condemnation award or the exercise of any power of eminent domain).
