Automatic Early Redemption Rate: 100 % if all Shares close at or above 100 % of the Share Initial on each Automatic Early Redemption Valuation Date.
Notwithstanding the foregoing, if the Company fails to pay the applicable Mandatory Redemption Price within such thirty (30) days time period due to a dispute as to the determination of the arithmetic calculation of the Redemption Rate, such dispute shall be resolved pursuant to Section 5(b)(iii) above with the term "Redemption Price" being substituted for the term "Conversion Price".
