Reference Balance Sheets definition

Reference Balance Sheets is defined in Section 4.6.
Reference Balance Sheets shall have the meaning set forth in Section 2.7(a).
Reference Balance Sheets means the separate balance sheets for the Companies as of the Reference Date, a true and exact copy of which will be initialed by the parties and attached hereto as Exhibit P.

  • All material Taxes due and owing by Sellers (whether or not shown on any Tax Return) with respect to the Business have been paid or accrued on the Reference Balance Sheets.

Reference Balance Sheets means the balance sheets set forth as Exhibit P.
