Examples of Reference Rate Replacement Event in a sentence

  • Occurrence of a Reference Rate Replacement Event as defined in the General Terms.

  • Any Replacement Reference Rate shall apply from and including such date as the Company in its sole discretion determines, provided that such date is not earlier than the date of the Reference Rate Replacement Event.

  • In the absence of an Officially Determined Replacement Reference Rate, the Company will use the Market Standard Replacement Reference Rate closest to the nature of the Reference Rate and the contract or transaction affected by the Reference Rate Replacement Event, or in its absence, the Replacement Reference Rate determined on the basis of General Market Practice (see definition below).

  • On or after the occurrence of a Reference Rate Replacement Event, the Dividend Rate shall be the Replacement Reference Rate once determined by the Calculation Agent and announced via SENS.

  • The Bank’s right to replace the Interest Reference Rate In the event of an Interest Reference Rate Replacement Event, the Bank will, where it is possible to do so, give the Borrower at least two months’ notice in writing that the Interest Reference Rate will be replaced by the Replacement Interest Reference Rate together with the date it will take effect.

  • The Company may (but shall not be obliged to) determine the Replacement Reference Rate in relation to the same Reference Rate Replacement Event on more than one occasion in its sole discretion if a later determination is more appropriate to the nature of the Reference Rate and the contract or transaction affected by the Reference Rate Replacement Event than the earlier determination.

  • If there is no Officially Determined Replacement Reference Rate, Market Standard Replacement Reference Rate or Replacement Reference Rate determined on the basis of General Market Practice as set out above, the Company may determine a replacement for the Reference Rate affected by the Reference Rate Replacement Event.

  • The above shall apply mutatis mutandis in the event that a Reference Rate Replacement Event occurs in relation to a Replacement Reference Rate previously determined by the Company.

Related to Reference Rate Replacement Event

  • Market Disruption Event means, for the purposes of determining amounts due upon conversion (a) a failure by the primary U.S. national or regional securities exchange or market on which the Common Stock is listed or admitted for trading to open for trading during its regular trading session or (b) the occurrence or existence prior to 1:00 p.m., New York City time, on any Scheduled Trading Day for the Common Stock for more than one half-hour period in the aggregate during regular trading hours of any suspension or limitation imposed on trading (by reason of movements in price exceeding limits permitted by the relevant stock exchange or otherwise) in the Common Stock or in any options contracts or futures contracts relating to the Common Stock.

  • VWAP Market Disruption Event means, with respect to any date, (A) the failure by the principal U.S. national or regional securities exchange on which the Common Stock is then listed, or, if the Common Stock is not then listed on a U.S. national or regional securities exchange, the principal other market on which the Common Stock is then traded, to open for trading during its regular trading session on such date; or (B) the occurrence or existence, for more than one half hour period in the aggregate, of any suspension or limitation imposed on trading (by reason of movements in price exceeding limits permitted by the relevant exchange or otherwise) in the Common Stock or in any options contracts or futures contracts relating to the Common Stock, and such suspension or limitation occurs or exists at any time before 1:00 p.m., New York City time, on such date.

  • Significant Event means any Amortization Event or Event of Default.
