If, on or before the day which is ninety (90) days prior to the then Regular Maturity Date of this Agreement, neither of the parties to this Agreement shall have given notice to the other party that it wishes this Agreement to expire on said Regular Maturity Date, then said Regular Maturity Date shall be deemed to have been extended automatically for an additional one (1) year period.

In the case of a Participant’s Separation From Service with the Company and its Subsidiaries as a result of his or her death, Disability or Retirement before the Regular Maturity Date with respect to any Award, the date of such death, Disability or Retirement shall be the applicable Early Termination Date for all purposes hereunder.
Replenishments with respect to Appreciation Units and comparable treatment with respect to the Special CS-SARs shall continue while the Executive is a Full-Time Employee, but not apply to a Regular Maturity Date (or, for the Special CS-SARs, “Scheduled Payment Dates” (as defined in the applicable award agreements)) after December 31, 2014, unless the Term of Employment has been extended beyond February 1, 2015 (in which case such replenishment right shall continue to apply).
For the avoidance of doubt, upon the payment of the Unit Benefits relating to any Appreciation Units hereunder, whether such Appreciation Units become payable as a result of a Regular Maturity Date or an Early Termination Date, such Appreciation Units shall thereupon automatically terminate and the Participant shall no longer be entitled to any appreciation of the Unit Value with respect thereto.
On and after January 1, 2001, and at any time prior to the Regular Maturity Date, at the option of the Company, the Company may fix a date (the "Redemption Date") on which it shall redeem this Debenture by paying in cash to the holder thereof the entire outstanding principal amount of this Debenture plus an amount equal to all interest payments then due but unpaid (including interest thereon); plus an amount equal to the Prepayment Penalty.
