Regulatory Consents definition

Regulatory Consents means any consent or approval required under:

Examples of Regulatory Consents in a sentence

• All documents that the Parties or their respective Subsidiaries are responsible for filing with any Governmental Authority in connection with the transactions contemplated hereby (including to obtain Regulatory Consents) will comply as to form in all material respects with the provisions of applicable Law.

• Each Party agrees that it will consult with the other Party with respect to the obtaining of all Regulatory Consents and other material Consents advisable to consummate the transactions contemplated by this Agreement and each Party will keep the other Party apprised of the status of material matters relating to completion of the transactions contemplated hereby.

• Neither SBC nor any of its Subsidiaries or Affiliates has taken or agreed to take any action and it has no Knowledge of any fact or circumstance, that is reasonably likely to (i) prevent the Merger and the Bank Merger from qualifying as a reorganization with the meaning of Section 368(e) of the Internal Revenue Code, or (ii) materially impede or delay receipt of any required Regulatory Consents.

More Definitions of Regulatory Consents

Regulatory Consents means, collectively, the CorpBanca Regulatory Consents, the Itaú Bank Regulatory Consents and the Itaú Parent Regulatory Consents.

Regulatory Consents means, collectively, (i) the FCC Consent and (ii) the Consents of state public service or public utility commissions or like agencies.

Regulatory Consents means all authorizations, clearances, consents, orders and approvals required to be obtained from any Governmental Entity in connection with the completion of the transactions contemplated hereby;
