Regulatory Redemption Event definition

Regulatory Redemption Event has the meaning set forth in Exhibit A.
Regulatory Redemption Event shall have the meaning specified in Section 3.7.
Regulatory Redemption Event means that (i) the Note Issuer (or its successor) is, becomes or within [180] days will become, subject to capital requirements by a Regulator under which it or its principal subsidiary (or its successor), as applicable, would no longer be permitted to include the Preferred Securities in computing its capital and (ii) (a) a bank, savings and loan association, savings bank, or bank or savings and loan holding company (each a "Depository Institution") has issued or has been the sponsor of a trust or other entity that has issued securities that constitute Tier 1 Capital for such Depository Institution, and which issued securities, or the securities underlying such issued securities, are to be treated by such Depository Institution as indebtedness for U.S. federal income tax purposes, as evidenced by the disclosure document pursuant to which such securities were offered, and (b) Note Issuer has within 60 days of such issuance, received an opinion of independent counsel experienced in such matters that securities having substantially identical terms (except for rate, maturity and payment dates), if issued by Note Issuer or by a Note Issuer sponsored trust or other entity, should constitute Tier 1 Capital for the Note Issuer if the securities issued by such Depositary Institution constituted Tier 1 Capital for such Depositary Institution and should be treated as indebtedness for U.S. federal income tax purposes.

Examples of Regulatory Redemption Event in a sentence

  • If these conditions are not fulfilled, there shall be a Regulatory Redemption Event which will result in the early redemption of the Instruments.

Regulatory Redemption Event means a change in New York law or regulation (other than with respect to taxes) that changes the ability of MONY Life to declare shareholder dividends without regulatory approval in a manner that materially adversely affects CB Debt Cash Flow.

Regulatory Redemption Event means an event where the Company determines that there is more than an insubstantial risk that the AT1 Preference Shares are no longer eligible to qualify (in part or in whole) as Additional Tier 1 capital of the Company for the purposes of BNM’s capital adequacy requirements under any regulations applicable to the Company or at any time.

  • Mandatory Redemption Event has the meaning given to it in Condition 8.7.

  • Redemption Notice means a notice in a form approved by the Company by which a holder of Public Shares is entitled to require the Company to redeem its Public Shares, subject to any conditions contained therein.

  • Early Redemption Amount means in respect of each Note in circumstances where such Notes are redeemed early pursuant to Conditions 7(b) or (c), the outstanding principal amount of each Note, unless otherwise specified in the Final Terms or Series Offering Document, as applicable;

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.
