If the Excess Amount is less than the Adjustment Escrow Funds (such shortfall, the “Remaining Adjustment Escrow Funds”), then Buyer and Seller shall, simultaneously with the delivery of the joint written instructions referred to in the first sentence of this Section 1.05(f), deliver joint written instructions to the Escrow Agent to cause the Escrow Agent to pay the Remaining Adjustment Escrow Funds from the Adjustment Escrow Account to, or as directed by, Seller.

To the extent any portion of the Remaining Adjustment Escrow Funds is payable to participants in the Phantom Plan, such portion shall be paid to the Company for further distribution to such participants in accordance with the Company’s payroll procedures.
