Any such payment shall be treated for tax purposes as having been received by the beneficial owners of such Group II Certificates in respect of their Interests in the applicable Upper-Tier REMIC and as having been paid by such beneficial owners to the Pool 3 Basis Risk Reserve Fund pursuant to the notional principal contract. For tax purposes, the notional principal contract shall be deemed to have a value in favor of the Group I and Group II Certificates entitled to receive Basis Risk Shortfalls and Unpaid Basis Risk Shortfalls of $44,000 and $38,000, respectively, as of the Closing Date.
