Repatriation Bridge Loans means a term loan made by an Repatriation Bridge Lender pursuant to its Repatriation Bridge Commitment.
Repatriation Bridge Loans means a term loan made by an Repatriation Bridge Lender pursuant to its Repatriation Bridge Commitment. “Repatriation Bridge Loan Maturity Date” means February 7, 2020. “Repatriation Bridge Note” means a promissory note of the Borrower payable to any Repatriation Bridge Lender or its registered permitted assigns, in substantially the form of Exhibit E-3, evidencing the aggregate indebtedness of the Borrower owed to such Repatriation Bridge Lender resulting from the Repatriation Bridge Loans made by such Repatriation Bridge Lender. “Reportable Event” means any of the events set forth in Section 4043(c) of ERISA, other than events for which the 30-day notice period has been waived. “Repricing Event” shall mean (a) the refinancing or repricing by the Borrower of all or any portion of the Initial Term Loans or the 2022 Incremental Term B-2 Loans with the proceeds of, or any conversion of the Initial Term Loans or the 2022 Incremental Term B-2 Loans into, any new or replacement tranche of term loans and (b) any amendment to the Initial Term Loans or the 2022 Incremental Term B-2 Loans, in each case of the foregoing clauses (a) and (b), the primary purpose of which is to have or result in an Effective Yield as of the date of such refinancing, repricing or amendment that is (and not by virtue of any fluctuation in any “base” rate) less than the Effective Yield applicable to the Initial Term Loans or the 2022 Incremental Term B-2 Loans, as applicable, as of the date of such refinancing, repricing or amendment, but excluding, in any such case, any refinancing, repricing or amendment of the Initial Term Loans or the 2022 Incremental Term B-2 Loans, as applicable, in connection with (i) any Qualifying IPO, (ii) a Transformative Acquisition, (iii) a “Change of Control” transaction or (iv) a material disposition. “Request for Credit Extension” means (a) with respect to a Borrowing, conversion or continuation of Term Loans or Revolving Credit Loans, a Loan Notice, (b) with respect to an L/C Credit Extension, a Letter of Credit Application, and (c) with respect to a Swing Line Loan, a Swing Line Loan Notice. “Required Class Lenders” means, with respect to any Class on any date of determination, Lenders having more than 50% of the sum of (i) the outstanding Loans under such Class and (ii) the aggregate unused Commitments under such Class; provided that the unused Commitments of, and the portion of the outstanding Loans under such Class held or deemed held by, any Defaulti...
