The Events. (a) Each party shall be relieved of its obligation to perform any part of this Agreement to the extent its performance is prevented or rendered impracticable by events beyond its reasonable control, which events may include, without limitation, fire, storm, flood, earthquake, and other Acts of God, and explosion, accident, acts of the public enemy, riots and other civil disturbances, sabotage, court injunctions (other than any injunction imposed as a result of the party's actual or alleged breach of any agreement), transportation embargoes, shortages of materials, strikes, lockouts, work stoppages and other labor disputes, acts, regulations or other requirements of domestic or foreign federal, state, county, municipal, or local governments or branches, subdivisions or agencies thereof, including, without limitation, any such acts, regulations or other governmental requirements making it unlawful (such as by an outright ban) or commercially impractical (such as by the imposition or increase of deposit requirements or other action directly or indirectly affecting beer or its packaging) to manufacture or package beer in bottles, or to sell or distribute beer in packaging of any type ("Force Majeure"), subject to the various limitations provided in this Section 7. Force Majeure shall further include, without limitation, any imposition or increase of any excise tax or similar charge by any governmental authority on the manufacture, packaging, possession, storage, sale or distribution of beer, and AB's obligations to purchase shall be deemed to have been rendered impracticable thereby, without any direct proof of causation, to the extent that there is any decrease in the demand for beer manufactured, sold or distributed by AB after such Force Majeure event occurs. (b) Notwithstanding the foregoing, Anchor acknowledges that Force Majeure will not include a strike, lockout, work stoppage or other labor dispute affecting any of the Production Facilities, and in the event of such a labor dispute at any of the Production Facilities, Anchor agrees to use its commercially reasonable best efforts to operate any affected Production Facility with management or other personnel to the full extent necessary to satisfy the Requirements. The Events. (a) Licensor shall provide live professional mixed martial arts programs under the brand name “Elite XC…” (or such other brand name mutually agreed upon by the parties hereto) (“Elite XC”) in accordance with the following schedule (which represents the minimum number of anticipated Events): Year Showtime Events PPV Events 2007 4 2 - 4 2008 6 - 8 4 - 6 2009 8 - 12 6 - 10 The first Showtime Event (tentatively entitled “Elite XC #1”) shall take place on February 10, 2007 and shall be staged at a venue to be mutually agreed upon, and shall be scheduled to start at either 9PM ET or 10PM ET, as designated by SNI. (i) Unless otherwise mutually agreed in writing, all events to be aired live on SHOWTIME (as opposed to events to be first offered exclusively on pay-per-view) (“Showtime Events”) will be scheduled in order to be available live on SHOWTIME starting at either 9PM ET or 10PM ET (such start time to be determined by SNI) and SNI shall use its commercially reasonable efforts to air each Event when and as delivered by Licensor hereunder. Each Showtime Event will be scheduled to run for approximately two (2) hours. (ii) Unless otherwise mutually agreed in writing, all events to be first offered exclusively on pay-per-view (“PPV Events”, and collectively with the Showtime Events, the “Events”) will be scheduled in order to be available live starting at either 9PM ET or 10PM ET (such start time to be determined by SNI). Each PPV Event will be scheduled to run for approximately three (3) hours. (iii) Each Event will be scheduled to take place live on a Saturday night on dates to be mutually agreed upon by SNI and Licensor. In all events, Licensor acknowledges that SNI schedules its boxing events on the first Saturday of every month, and, as such, such first Saturdays would be unavailable for Events unless SNI were to agree otherwise. (iv) The parties shall mutually agree on additional events to be staged as “SHOBOX Pro Elite Presents…” featuring up and coming fighters developed through the Pro-Elite ladder system on terms to be mutually agreed upon. (c) The fighter participants (each, a “Fighter”), match-ups and the headline bout (the “Main Bout”) to be televised as part of each Event will be mutually agreed upon between SNI and Licensor sufficiently in advance of each Event. The Events. Notwithstanding anything contained in this Agreement to the contrary, each Party shall be relieved of its obligation to perform any part of this Agreement to the extent its performance is prevented or rendered impracticable by events beyond its reasonable control, which events may include, without limitation, fire, storm, flood, earthquake, and other Acts of God, and explosion, accident, acts of the public enemy, riots and other civil disturbances, sabotage, court injunctions (other than any injunction imposed as a result of the Party’s actual or alleged breach of any agreement), transportation embargoes, shortages of materials, [*****] acts, regulations or other requirements of domestic or foreign federal, state, county, municipal, or local governments or branches, subdivisions or agencies thereof (“Force Majeure”), subject to the various limitations provided in this Section 10.2.
The Events. Subject to the terms and conditions of this Agreement, Promoter shall hold four (4) events at Borgata in 2015. All events will feature an array of fighters with local, regional and national appeal provided that collectively the bouts would be considered of a first class caliber MMA event (“the Events”). (All fighters’ participating in the Events shall collectively be referred to hereafter as “the Fighters”.) All Events are held on Friday or Saturday evenings on dates to be mutually agreed with an expected start time of 7:00PM. Each Event will include at least eight (8) fights but no more than twelve (12) fights.
The Events. Subject to the terms and conditions of this Agreement, CFFC shall hold four (4) Events at Borgata in 2016. In addition, CFFC shall have the opportunity to hold up to four (4) Amateur fights at Borgata in 2016, with no guaranteed minimum, based on Borgata availability and mutually agreeable dates.
The Events. USC shall coordinate local market and on-site logistics with selected schools and shall execute contracts with each school so that each participating school shall provide: a) Appropriate show venue with minimum of 1000 seats - where available b) All required production elements: sound, lights, green room, etc. c) Minimum of two (2) one-half page school newspaper ads and on-campus flyer distribution to promote the show d) Rights and approvals to display 300 posters in high traffic locations to promote the show e) Adequate footprint for sponsor activity village in a high-traffic outdoor location on campus When contracting with schools USC will utilize standard performance agreements provided by the universities. When such agreements are not available, USC will utilize an original contract as outlined in but not restricted to "Attachment C". All contracts with schools will be subject to CTN's approval. The Events. On 17 December 1961, the Indian Union attacked the territories of Goa, Daman and Diu. The small and badly armed Portuguese military forces stood there, had no realistic means of defence. This military invasion put Xxxxxxx’x tactics in ruins. However, he remained defiant in defence of the ‘Portuguese State of India’. He accepted no discussion of Portuguese sovereignty on those territories (Xxxxx, 1994, p. 514).64 For Xxxxxxx, discussing Portuguese sovereignty in the ‘State of India’ would mean creating a precedent for the other colonial territories. The Portuguese Government was realistic about the difficulties inherent in defending the territory militarily, but its tactics were to prevent Xxxxx from falling unless there was a military invasion (Xxxxx, 1994, pp. 512- 513). In April 1956, in an article published in Foreign Affairs, Xxxxxxx argued that, in the case of Goa, there were only three possible resolutions, one of them violent and the other two essentially peaceful. The violent decision would be for the Indian Union to undertake integration by force. Regarding the peaceful solutions, one would be for the Indian Union to ignore Goa. The third scenario, and the only genuine solution to the problem, would be to open negotiations regarding situations where proximity and neighbourhood seated risks or were likely to cause friction (Xxxxxxx, 1956, pp. 172-173). Contrary to Xxxxxxx’x expectations, the Indian Union invaded the territories. Portuguese diplomats had tried to head off this development through diplomatic efforts in the United States and Great Britain. In Washington they asked the United States to maintain its previous opposition to the use of force by the Indian Union, and in London they appealed to the historical alliance between both countries (Nogueira, 2000b, p. 315). The position from the Government of Lisbon did not allow the scarce Portuguese troops in India to leave the territory. In case of attack, they not surrender.
