Reporting Status definition

Reporting Status. Except as set forth on Schedule 2.13, the Company has filed in a timely manner all documents that the Company was required to file under the Exchange Act during the 12 months preceding the date of this Agreement. The following documents complied as to form in all material respects with the SEC's requirements as of their respective filing dates, and the information contained therein as of the date thereof did not contain an untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein in light of the circumstances under which they were made not misleading: (a) all Forms 10-K, 10-Q, 8-K (including any and all amendments thereto) and all Definitive Proxy Statements on Schedule 14A and additional Definitive Proxy Materials filed with the SEC since June 30, 2004; and (b) all other documents, if any, filed by the Company with the SEC since June 30, 2004.

  • At any time prior to Public Reporting Status being obtained, no later than February 28th of each fiscal year of Issuer, a consolidated plan and financial forecast of Issuer and its Subsidiaries for such fiscal year, and promptly (and in any event within seven (7) days of the approval thereof) any amendment to any such plan and forecast which is approved by the Board of Directors of Issuer.
