Required Tax Payment definition

Required Tax Payment has the meaning assigned that term in Section 4.05(c).
Required Tax Payment means such amount as the Company may be required, under all applicable federal, state, local or other laws or regulations, to withhold and pay over as income or other withholding taxes and social insurance contributions with respect to any Option exercise, disposition of the Option or disposition of Option Shares.

  • Such withholding may be applied, at the sole discretion of the Company, by liquidating such amount of Shares which would otherwise be delivered to the holder having an aggregate Fair Market Value, determined as of the vesting date, equal to the Required Tax Payment, as is necessary to enable the Employer to satisfy any such obligation.

  • The Company shall, or shall cause the applicable Subsidiary or Subsidiaries of the Company to, accept such Tax Payment Loan and use the proceeds of such Tax Payment Loan to make the applicable Required Tax Payment.

Required Tax Payment means any payment the Issuer is required to make to the Tax Authority as a result of the tax representation made by the Offeror in the Portfolio Offer Deed, proving to be untrue; and
