The Company’s obligations under this Section 1 shall terminate, and the Constellation Parties shall have no appointment or nomination or other rights under this Section 1, other than under Section 1(f), upon the effectiveness of any resignation by the New Director due the Board accepting the resignation of the New Director from the Board pursuant to the Resignation Letter.
SECTION 13.2. Any Party Subsidiary may request that it ceases to be a party to this Agreement (the “Resigning Party Subsidiary”) by delivering to the Service Provider a duly completed and executed Resignation Letter.
The Resigning Party Subsidiary shall cease to be a Party Subsidiary and shall have no further rights or obligations under this Agreement upon the Service Provider accepting such Resignation Letter by counter-signing the same.
