Responsibilities and Duties. (a) As Executive Vice President, the Executive will perform all duties and will have all powers associated with these positions, as set forth in any job description relating to the Executive’s position in effect on the Effective Date or as may be set forth in the bylaws of the Bank. The Executive shall report directly to the Chief Executive Officer of the Bank.
(b) During the period of his employment hereunder, except for reasonable periods of absence occasioned by illness, reasonable vacation periods, and other reasonable leaves of absence approved by the Board of Directors of the Bank (the “Board”), the Executive will devote all of his business time, attention, skill and efforts to the faithful performance of his duties under this Agreement, including activities and duties directed by the Board. Notwithstanding the preceding sentence, subject to the approval of the Board, the Executive may serve as a member of the board of directors of business, community and charitable organizations, provided that in each case the service shall not materially interfere with the performance of his duties under this Agreement, adversely affect the reputation of the Bank or any other affiliates of the Bank, or present any conflict of interest. Nothing in this Section 1.2 shall prevent the Executive from managing personal investments and affairs, provided that doing so also does not interfere with the proper performance of the Executive’s duties and responsibilities under this Agreement.
Responsibilities and Duties. (a) As President and Chief Executive Officer, the Executive shall serve under the board of directors of the Corporation and will perform all duties and will have all powers associated with these positions, as set forth in any job description provided to the Executive by the Corporation or as may be set forth in the bylaws of the Corporation. Responsibilities and Duties. The Executive’s duties shall consist of such duties and responsibilities as are consistent with the position of a Chief Revenue Officer and Head of Global Strategic Partnerships, including duties and responsibilities as are mutually determined from time to time by the Chief Executive Officer of the Company (the “CEO”) and the Executive.

The Assistant Principal shall supervise the operation of attendance centers as the Board shall determine necessary and shall have as her primary responsibility the improvement of instruction. The Assistant Principal shall also assume any additional administrative responsibilities and instructional leadership duties that may be assigned, under the supervision and direction of the Superintendent or designee and in accordance with the laws of the State of Illinois and the policies, rules, and regulations of the Board, for the planning, operation and evaluation of the educational program of her assigned attendance area. The Assistant Principal shall submit recommendations, as requested, to the Superintendent concerning the appointment, retention, promotion, and assignment of all personnel assigned to her attendance centers and shall keep such other registers, records and reports as may be directed by the Superintendent and the Board or required by law. The Assistant Principal shall be responsible for all obligations contained in the official job description for District assistant principals, including the discipline of students in accordance with the requirements of the School Code and Board policy. The shall be responsible for and deemed to have knowledge of, all of the policies and rules and regulations established by the Board and shall comply with their requirements.
Responsibilities and Duties. During the Term of Employment (as hereinafter defined), the Executive shall be employed as the Executive Vice President, Chief Financial Officer, Secretary and Treasurer of each of AM and IMED. In that capacity, for each of such companies, the Executive shall have the responsibilities and duties customarily ascribed to a person holding the offices referred to above in companies similarly situated, as well as: (i) with respect to IMED, such other duties and responsibilities consistent with such offices as the executive holding the title of Chief Executive Officer of IMED (the "IMED CEO") or, if there is no one serving in the capacity of IMED CEO, that the Board of Directors of IMED (the "IMED Board"), shall from time to time, reasonably determine; and (ii) with respect to AM, such other duties and responsibilities consistent with such offices as the executive holding the title of Chief Executive Officer of AM (the "AM CEO") or, if there is no one serving in the capacity of AM CEO, that the Board of Directors of AM (the "AM Board"), shall from time to time, reasonably determine. It is agreed and understood between the parties that the Executive shall devote a substantial portion of his working time to the performance of his responsibilities and duties to IMED hereunder, but shall also devote that portion of his working time as is reasonably necessary to the performance of his responsibilities and duties to AM hereunder. During the Term of Employment, the Executive shall devote his full working time to the performance of his responsibilities and duties hereunder and shall comply with the policies of IMED and AM with respect to conflict of interest and business ethics from time to time in effect. During the Term of Employment, the Executive shall not, without the prior written consent of both AM and IMED, render services, whether or not compensated, to any other person or entity as an employee, independent contractor of otherwise, PROVIDED, HOWEVER, that nothing contained herein shall restrict the Executive: (i) from rendering services to charitable organizations, industry organizations, trade organizations and civic organizations; (ii) in each case, with the prior written approval of both AM and IMED, which approval will not be unreasonably withheld, from serving as a director of any one or more other corporations; or (iii) from managing his personal investments, in each of the above cases in such manner as shall not interfere with the performance by the Exec...
Responsibilities and Duties. The Executive shall be employed as the Company's President and Chief Executive Officer or in such other position(s) and with such responsibilities and duties as the Board of Directors of the Company may from time to time determine. The Executive shall devote his full working time to the performance of his responsibilities and duties hereunder.

The Athletic Director shall be responsible for all obligations contained in the official job description for District athletic directors and shall assist the Superintendent or designee in the administrative operation and management of the School District with respect to the athletic department. The Athletic Director shall also assume any additional administrative responsibilities and duties that may be assigned, under the supervision and direction of the Superintendent or designee and in accordance with the laws of the State of Illinois and the policies, rules and regulations of the Board, for the planning, operation and evaluation of the educational program of the District. The Athletic Director shall be responsible for, and deemed to have knowledge of, all of the policies, rules and regulations established by the Board and shall comply with their requirements.

Responsibilities and Duties. (a) The Employee shall perform such duties and responsibilities as set out in Schedule “A” to this Agreement. In addition to the duties and responsibilities set out in Schedule “A”, the Employee agrees to perform such other duties and responsibilities that are normally performed by an EA of a company and comply with such instructions that are reasonably assigned or communicated to her by the Board of Directors (the “Board”).
(b) The Employee shall at all times conduct herself in accordance with all laws that apply to his employment and to the affairs of the Company.
(c) The Employee shall comply with all written policies that apply to the Company’s senior staff that may be issued by the Company from time to time. It is agreed that the introduction and administration of such policies are within the sole discretion of the Company. If the Company introduces, amends or deletes such policies, such introduction, deletion or amendment shall not constitute a breach of this Agreement. If there is a direct conflict between this Agreement and any such policy, this Agreement shall prevail to the extent of the inconsistency.
