Restricted ADR Depositary definition

Restricted ADR Depositary means The Bank of New York acting as depositary for the Restricted ADRs pursuant to an instruction letter between the Bank of New York and the Company, and for the Shares acting as intermédiaire inscrit or any successor depositary for the Restricted ADRs.
Restricted ADR Depositary means The Bank of New York acting as depositary for the Restricted ADRs pursuant to an Instruction Letter to be dated on or about July 28, 2006 (the “Instruction Letter”) between the Bank of New York and the Company, and for the Shares acting as intermédiaire inscrit.
Restricted ADR Depositary means The Bank of New York acting as depositary for the Restricted ADRs pursuant to an Instruction Letter dated on or about the date hereof (the “Instruction Letter”) between the Bank of New York and the Company, and for the Shares acting as intermédiaire inscrit.

  • Upon the termination of Bank of New York as Depositary or Restricted ADR Depositary, the Company shall promptly appoint a successor Depositary or Restricted ADR Depositary, as the case may be, and all references herein to Depositary or Restricted ADR Depositary, as the case may be, shall thereafter refer to such successor Depositary or Restricted ADR Depositary, as the case may be.

  • If the removal of the legend, as described in the preceding sentence, is effected in connection with the transfer of the Restricted ADS pursuant to Rule 144 under the Securities Act, the Holder shall, if requested by the Company or the Restricted ADR Depositary, deliver an opinion of counsel addressed and reasonably satisfactory to the requesting party.

  • Any reasonable fees (with respect to the Restricted ADR Depositary, the Depositary or otherwise) associated with the removal of such legend shall be borne by the Company.
