Retained Indebtedness definition

Retained Indebtedness means the debt securities issued under the 1993 Indenture that are identified on Schedule 1.1(f) to the Original Credit Agreement.
Retained Indebtedness means the Indebtedness set forth on Schedule 3.28 under the heading “Retained Indebtedness” and (i) any other Indebtedness of the Permanent Capital Funds (or related to the Permanent Capital Assets) incurred after the date hereof in the ordinary course of business consistent with past practice of the Permanent Capital Funds or the Permanent Capital Assets, and (ii) any additional CRBT Debt incurred after the date hereof with the prior written consent of the Buyer.
Retained Indebtedness means the items of Indebtedness listed on Schedule 1.3.

  • At least three (3) Business Days prior to the Closing Date, based on the Indebtedness of the Company as set forth in final Section 4.4(d) of the Seller Disclosure Letter, Buyer shall notify Seller regarding which Indebtedness of the Company constitutes Retained Indebtedness.

  • The Person listed on Exhibit E as the lender on the Retained Indebtedness shall have consented to the retention of the applicable Retained Indebtedness materially on the terms set forth on Exhibit E.

Retained Indebtedness has the meaning set forth in Section 2.6.
Retained Indebtedness means the First Mortgage Bonds due 2019, issued by Seller pursuant to the First Mortgage Bonds Indenture of Mortgage and Deed of Trust dated as of March 15, 1946 (as successor to PG Energy, Inc., formerly Pennsylvania Gas and Water Company, and originally, Scranton-Spring Brook Water Service Company) to Guaranty Trust Company of New York.
Retained Indebtedness means the debt securities issued under the 1993 Indenture that are identified on Schedule 1.1(f). “S&P” shall mean Standard & Poor’s Ratings Services or any successor by merger or consolidation to its business.

Retained Indebtedness means the following Indebtedness of the Company and its Subsidiaries: (a) capital leases, intercompany Indebtedness, letters of credit, Indebtedness of the Acquired Business permitted by the Acquisition Agreement, (b) other ordinary course Indebtedness of the Company and its Subsidiaries not to exceed $10,000,000, (c) Indebtedness under this Agreement and (d) other Indebtedness reasonably agreed to by the Arrangers.
Retained Indebtedness shall have the meaning provided in Section 4.21.
