At least three (3) Business Days prior to the Closing Date, based on the Indebtedness of the Company as set forth in final Section 4.4(d) of the Seller Disclosure Letter, Buyer shall notify Seller regarding which Indebtedness of the Company constitutes Retained Indebtedness.
