Corporation Intellectual Property definition

Corporation Intellectual Property means the Intellectual Property owned by or licensed to the Corporation and incorporated in, underlying or used in connection with the Customer Deliverables or the Internal Systems.
Corporation Intellectual Property means the Intellectual Property of the Corporation;
Corporation Intellectual Property means all patents, patent applications, trademarks, trademark applications, service marks, tradenames, copyrights, trade secrets licenses, domain names, information and proprietary rights and processes as are necessary to the conduct of the Corporation’s business as now conducted.

  • To the Corporation’s Knowledge no other person or entity has any valid and enforceable rights to any of the Corporation Intellectual Property owned by the Corporation (except as set forth in Schedule 5.12(c)), and no other person or entity is infringing, violating or misappropriating any of the Corporation Intellectual Property.

  • The Consultant agrees to assist the Corporation in every proper way to obtain and enforce patents, copyrights, mask work rights, and other legal protections for the Corporation Intellectual Property in any and all countries, at the Corporation's expense.


More Definitions of Corporation Intellectual Property

Corporation Intellectual Property means all ideas, concepts, business and trade names, trademarks, know-how, trade secrets, inventions, improvements, devices, methods, processes and discoveries, whether patentable or not, and whether or not reduced to writing or other tangible form or to actual or constructive practice which: (i) are part of the Technology licensed to the Corporation under the UBC Licenses; (ii) are conceived, created or developed by Xxxxxx through the performance of his duties under Section 2 hereof; (iii) are licensed or assigned to the Corporation or otherwise developed or acquired on behalf of or by the Corporation; (iv) result from the use of the premises or property (including equipment, supplies or Confidential Information) owned, used, leased or licensed by the Corporation or which reasonably relates to its business; or (v) are enhancements, modifications, additions, or other improvements to the foregoing or the Technology or work product resulting from or related to work or projects performed or to be performed by the Corporation related to the foregoing or the Technology;
Corporation Intellectual Property has the meaning ascribed to such term in Section 3.3(u)(i);
Corporation Intellectual Property means all patents, patent applications, registered and unregistered trademarks, trademark applications, registered and unregistered service marks, service xxxx applications, tradenames, copyrights, trade secrets, domain names, mask works, information and proprietary rights and processes, similar or other intellectual property rights, subject matter of any of the foregoing, tangible embodiments of any of the foregoing, licenses in, to and under any of the foregoing, and in any and all such cases [that are owned or used by] [as are necessary to] the Corporation in the conduct of the Corporation's business as now conducted and as presently proposed to be conducted.
Corporation Intellectual Property means the Intellectual Property listed on Schedule 4.18;
Corporation Intellectual Property has the meaning given to it in Section 3.9(6)(a).
Corporation Intellectual Property means all Intellectual Property that is owned by the Corporation. “Corporation Intellectual Property Agreement” shall have the meaning set forth in Section 3.26(b). “Corporation Intellectual Property License” shall have the meaning set forth in Section 3.26(b). “Corporation Leases” shall have the meaning set forth in Section 3.25(a). “Corporation Manufacturing Tools” means methods of manufacture, process engineering, know-how, schematics, trade secrets, methods, algorithms, machine settings and Software developed by or for the Corporation and used in their ordinary course of business consistent with past practice. “Corporation Plans” means any retirement, pension, supplemental pension, savings, retirement savings, retiring allowance, bonus, profit sharing, stock purchase, stock option, phantom stock, share appreciation rights, deferred compensation, severance or termination pay, change of control, life insurance, medical, hospital, dental care, vision care, drug, sick leave, short term or long term disability, salary continuation, unemployment benefits, vacation, incentive compensation or other employee benefit plan, program, arrangement, policy or practice whether written or oral, formal or informal, funded or unfunded, registered or unregistered, insured or self-insured that is maintained or otherwise contributed to, or required to be contributed to, by or on behalf of the Corporation for the benefit of current or former employees, directors, officers, shareholders, independent contractors or agents of the Corporation other than government sponsored pension, employment insurance, workers compensation and health insurance plans. “Corporation Software” means all Software that (i) is material to the operation of the Corporation, (ii) is distributed, sold, licensed, marketed or otherwise provided to third parties by the Corporation, (iii) is used or held for use by the Corporation in connection with its work for customers or its products or services, and/or (iv) is one of Corporation Manufacturing Tools.
Corporation Intellectual Property has the meaning set out in Section 2.1(18)(a).
