Retained Liabilities Amount definition

Retained Liabilities Amount means an amount equal to the Net Book Value of the Retained Liabilities on the Closing Date, determined in accordance with the Closing Financial Information and the Agreed Financial Methodology.

  • Retained limit means the greater of:

  • Assumed Liabilities has the meaning set forth in Section 2.3.

  • Eligible Liabilities and “Special Deposits” have the meanings given to them from time to time under or pursuant to the Bank of England Act 1998 or (as may be appropriate) by the Bank of England;

Such allocation shall be made by specific allocation, where determinable, and otherwise shall be pro rata based upon the dollar amount of such assets stated on the Accounting Records of the entity that owns such asset.

  • Estimated Closing Cash has the meaning set forth in Section 2.4(a).
