Closing Financial Information means the information set forth on Exhibit 5.16(i).

More Definitions of Closing Financial Information

Closing Financial Information means: (a) components of (i) the unaudited balance sheet of the Business as of the Closing Date, and (ii) the unaudited statement of income of the Business for (A) the most recent four (4) fiscal quarters completed on or prior to the Closing and (B) if not previously delivered to the Buyer and if available, the Sellers’ most recently completed fiscal year prior to the Closing, in each case, in a format consistent with the 2015 Data and determined in accordance with the Agreed Financial Methodology; (b) case volume information by brand for (i) the most recent four (4) fiscal quarters completed on or prior to the Closing and (ii) if not previously delivered to the Buyer and if available, the Sellers’ most recently completed fiscal year prior to the Closing; and (c) updates of Sections 2.01(a)(i), 2.01(a)(ii), 2.01(a)(iii)-1 and 2.01(a)(iii)-2 of the Disclosure Schedule to update the description of the Transferred Assets as of the Closing to be consistent with the unaudited balance sheet of the Business as of the Closing Date. Closing Financial Information shall also include the calculation of the Target Net Working Capital Amount for 2016 for the Business (determined in accordance with the definition of Target Net Working Capital Amount except with 2016 substituted for 2015 therein).

Closing Financial Information means (i) the information relating to the Company and its Subsidiaries described in Section 5 of Exhibit C to the Commitment Letter as in effect as of the date hereof and (ii) all financial and related information relating to the Company and its Subsidiaries that is necessary to permit Parent and Merger Sub to prepare the information described in Section 6 of Exhibit C to the Commitment Letter as in effect as of the date hereof.

Closing Financial Information. (a) with respect to the PSEG Acquisition, (i) historical financial information with respect to the Project as set forth in Section 3.19 to Seller’s Disclosure Schedule of the PSEG Purchase Agreement, (ii) unaudited pro forma consolidated balance sheet of the Borrower and its Subsidiaries as of the end of the 12-month period most recently ended at least 45 days prior to the applicable Funding Date, prepared after giving effect to such Acquisition and the other transactions contemplated hereby as if they had occurred as of the end of such 12-month period and (iii) the unaudited balance sheets of PSEG as of June 30, 2018 and September 30, 2018; and

Closing Financial Information means: (a) the unaudited balance sheet of the Company as of the Closing Date and the unaudited statement of income of the Company as of the Closing Date, in each case, in a format consistent with the 2013/2014 Data, together with reasonable supporting schedules and documentation; and (b) volume information by franchisee, brand and package as of the Closing.

Closing Financial Information means the Accredited Investor Option Payment Cash Amount, the Accredited Investor Option Payment Stock Consideration, the Accredited Investor Per Share Cash Amount, the Aggregate Option Cash Payment Amount, the Aggregate RSU Cash Payment Amount, the Aggregate Stock Cash Payment Amount, the Aggregate Strike Price Amount, the Per Share Cash Amount, the Per Share Merger Consideration Amount, the Per Share Stock Consideration, the Total Stock Consideration, the Unaccredited Investor Option Payment Cash Amount and the Unaccredited Investor Per Share Cash Amount.

Closing Financial Information shall have the meaning assigned to it in Section 5.10(a).
