Review Contract definition

Review Contract means, for a Review, the Contracts 60 days or more Delinquent (assuming 30 day months) as of the last day of the Due Period before the Review Demand Date stated in the Review Notice.

  • For a Review, the Asset Representations Reviewer will perform, for each Review Contract, the procedures listed under “Tests” in Schedule B for each Eligible Representation.

  • However, the Asset Representations Reviewer may provide additional information in a Review Report about any Review Contract that it determines in good faith to be material to the Review.

  • In this case, the related Review Report will indicate a Test Complete for such Review Contract and the related reason.

  • Following the delivery of the list of the Review Contracts and before the delivery of the Review Report by the Asset Representations Reviewer, the Servicer may notify the Asset Representations Reviewer if a Review Contract is paid in full by the Obligor or purchased from the Issuer in accordance with the terms of the Transaction Documents.

  • For each Test and Review Contract, the Asset Representations Reviewer will determine if the Test has been satisfied (a “Test Pass”) or if the Test has not been satisfied (a “Test Fail”).

  • If the same Test is required for more than one representation and warranty, the Asset Representations Reviewer will only perform the Test once for each Review Contract, but will report the results of the Test for each applicable representation and warranty on the Review Report.
