RMB Exchange Rate definition

RMB Exchange Rate means the middle exchange rate of RMB against US Dollar published by the PRC State Administration of Foreign Exchange (or if not published by the PRC State Administration of Foreign Exchange, the People’s Bank of China) on the date of determination in accordance with this Agreement.
RMB Exchange Rate means, as at any date, the prevailing CNH/Dollar rate of exchange offered by the BOC Arranger (or a specified Affiliate of the BOC Arranger) with respect to the conversion of RMB (traded outside the PRC) to Dollars on that date, as notified by the Redenomination Term Facilities Administrative Agent to the Parent Borrower (with notice to the Administrative Agent).

Unless otherwise specified by the Exchange Rate Agent, if there is more than one market for dealing in any currency or currency unit by reason of foreign exchange regulations or otherwise, the market to be used in respect of such currency or currency unit shall be that upon which a nonresident issuer of securities designated in such currency or currency unit would purchase such currency or currency unit in order to make payments in respect of such securities.
