  • If the Transfer of such Offered Securities to a Third Party Purchaser shall have not been consummated on or prior to the ROFO Outside Date, such Offered Securities shall again become subject to all restrictions of this Clause 10 and the Selling Recipient shall be required to again deliver a ROFO Notice in respect of such Offered Securities in accordance with this Clause 10.

  • Outside Completion Date shall have the meaning assigned to such term in Section 6.3(d).

  • IPO Closing Date means the closing date of the IPO.

  • Non-Extension Notice Date has the meaning specified in Section 2.03(b)(iii).
