ROFR Terms definition

ROFR Terms has the meaning set forth in Section 2.10 (Right of First Refusal for LYR-220 Product).
ROFR Terms has the meaning specified in Section 7.6(d).

  • To exercise the right to purchase the ROFR Shares, the Preferred New Investor(s) must timely deliver written notice to the Investor within the ROFR Exercise Period confirming the irrevocable commitment of the Preferred New Investor(s) to purchase all of the ROFR Shares for the ROFR Price and subject to the ROFR Terms.

  • Tenant may elect to lease the First Refusal Space under the ROFR Terms by delivering a notice (the “Response Notice”) to Landlord within 5 business days after the date Tenant receives the First Refusal Notice.

  • The delivery of the ROFR Notice shall be evidence of the Investor’s irrevocable offer to Transfer to the Preferred New Investors(s) all of the ROFR Shares for the ROFR Price and subject to the ROFR Terms.

  • If (i) Landlord does not receive the Response Notice within the 5 business day period or (ii) in the Response Notice Tenant elects not to lease the First Refusal Space under the ROFR Terms, then Tenant is deemed to waive its right to lease the First Refusal Space and Tenant has no further rights under this Paragraph 6.

  • Within five (5) business days after Subtenant’s receipt of the ROFR Notice, Subtenant shall deliver to Sublandlord written notice (the “Acceptance Notice”) if Subtenant elects to sublease the ROFR Space on the ROFR Terms pursuant to this Section 3(d).

  • Lian will have a right of first refusal (“ROFR”) with respect to obtaining such license in the Territory on the ROFR Terms, exercisable no later than [***] after Lian’s receipt of such notice.

  • To the extent the Corporation has entered into any written agreement with the stockholder attempting to Transfer shares that contains terms restricting such Transfer and grants the Corporation a right of first refusal with respect thereto (“Separate ROFR Terms”), then such Separate ROFR Terms shall supersede this Article VI and shall control such stockholder’s proposed Transfer of shares.

  • If Subtenant elects to sublease the ROFR Space by timely delivering the Acceptance Notice, provided Prime Landlord has provided its written consent to Subtenant’s sublease of the ROFR Space, Subtenant shall be deemed to agree to expand the Subleased Premises to include the ROFR Space and to lease the ROFR Space on the ROFR Terms, and this Sublease shall be amended to reflect the terms of the ROFR Notice for the rental of the ROFR Space.

  • Lessee may exercise its Right of First Refusal by providing Lessor with written notice accepting all such terms and conditions (including both the ROFR Terms and the Coterminous Modifications) within seven (7) business days after receipt of the ROFR Notice, in which case the ROFR Space shall be added to the Premises subject to the terms and conditions set forth in the ROFR Notice including the Coterminous Modifications.

  • Additional Terms and Conditions means the terms and conditions that govern the promotion as determined by the Participating Banks (if any).

  • URL Terms means the terms with which Customer must comply, which are located at a URL, referenced in this Agreement and are hereby incorporated by reference.

  • ROFR Notice has the meaning set forth in Section 3.02(d).

  • Specific Terms and Conditions means the specific terms and conditions as described in section 6.1 (and, in relation to an Agreement between Envestra and a Network User, means the Specific Terms and Conditions which form part of that Agreement).

  • ROFO Notice is defined in Section 6.2(a).

  • Use Terms means the Software Use Rights document as defined in the Order Form.

  • Special Terms and Conditions means any special terms and conditions supplementing and/or amending these Terms and Conditions.

  • Same terms and conditions means that a carrier cannot apply

  • First Offer has the meaning set forth in Section 3.9(e)(1) or Section 11.1(b)(i), as applicable.

  • Extended Terms shall have the meaning given such term in Section 2.4.

  • Additional Terms means any additional terms agreed in writing amending, varying or agreeing additions to these Terms;

  • Primary Terms and Conditions means the terms and conditions applicable to the ICICI Bank’s internet banking facility/service.

  • Term SOFR Notice means a notification by the Administrative Agent to the Lenders and the Borrower of the occurrence of a Term SOFR Transition Event.

  • Sale Notice has the meaning set forth in Section 3.04(b).

  • Transfer Notice Date has the meaning given to it in Section 2.06.

  • Special Terms means the Section of the Contract entitled “Special Terms” that contains terms specific to this Contract, including but not limited to the Scope of Work and contract payment terms. If there is a conflict between the General Terms for Services Contracts and the Special Terms, the Special Terms shall prevail.

  • Principal Terms means, with respect to any Series, (i) the name or designation; (ii) the initial principal amount (or method for calculating such amount), the Invested Amount, the Series Invested Amount and the Required Series Transferor Amount; (iii) the Certificate Rate (or method for the determination thereof); (iv) the payment date or dates and the date or dates from which interest shall accrue; (v) the method for allocating Collections to Investor Certificateholders; (vi) the designation of any Series Accounts and the terms governing the operation of any such Series Accounts; (vii) the Servicing Fee; (viii) the issuer and terms of any form of Series Enhancements with respect thereto; (ix) the terms on which the Investor Certificates of such Series may be exchanged for Investor Certificates of another Series, repurchased by a Transferor or remarketed to other investors; (x) the Series Termination Date; (xi) the number of Classes of Investor Certificates of such Series and, if more than one Class, the rights and priorities of each such Class; (xii) the extent to which the Investor Certificates of such Series will be issuable in temporary or permanent global form (and, in such case, the depositary for such global certificate or certificates, the terms and conditions, if any, upon which such global certificate may be exchanged, in whole or in part, for Definitive Certificates, and the manner in which any interest payable on a temporary or global certificate will be paid); (xiii) whether the Investor Certificates of such Series may be issued in bearer form and any limitations imposed thereon; (xiv) the priority of such Series with respect to any other Series; (xv) whether such Series will be part of a Group; (xvi) whether such Series will be a Principal Sharing Series; (xvii) whether such Series will be an Excess Allocation Series; (xviii) the Distribution Date; and (xix) any other terms of such Series.

  • Proposed Transfer Notice means written notice from a Key Holder setting forth the terms and conditions of a Proposed Key Holder Transfer.

  • a term's notice means written notice given not later than the first day of the term before the term to which the notice relates1;

  • Standard Terms and Conditions or “Standard Terms” means these terms and conditions for the grant of the Loan to the Borrower by ABFL.

  • Transfer Notice means the notice of a proposed transfer of Shares described in Section 8.

  • Specific Terms The terms and conditions as set out in clause 34 onwards which apply in respect of the specific Equipment hired by the Customer.
