RSU Grant means a grant to a Participant, under this Plan pursuant to Article 5, of RSUs determined with reference to a notional dollar amount;

• The Committee shall, within fifteen (15) business days of receipt of the RSU Grant Agreement and consideration, acknowledge receipt of the same.

RSU Grant means the grant of Restricted Share Units allocated to a Participant at any time in accordance with the Plan;

The first RSU Grant (the “Time-Based RSU Grant”) will be subject to annual service vesting based upon your continuous service as Chief Executive Officer. The second RSU Grant (the “PRSU”) will be subject to vesting upon achievement of certain performance milestones applied to the PRSU grants made to the Company’s other executive officers in fiscal year 2019.
