R&W Insurance Amount definition

R&W Insurance Amount means the amount set forth on Schedule 1.1(b) as the R&W Insurance Amount.
R&W Insurance Amount means the lesser of (x) $750,000 and (y) the premium payable by the Buyer to obtain the R&W Insurance Policy.
R&W Insurance Amount means $16,500,000; provided, however, that with respect to matters relating to Taxes, R&W Insurance Amount shall mean $25,000,000.

R&W Insurance Amount means the premium, underwriting costs, brokerage premium and Taxes related to the procurement of the R&W Insurance Policy. “R&W Insurance Policy” shall mean the representation and warranty insurance policy issued to Purchaser naming Purchaser or a Subsidiary thereof as the insured, which policy insures Purchaser for breaches of the representations and warranties given by the Company and Sellers under this Agreement.
