R&W Policies definition

R&W Policies means the buy-side representations and warranties insurance policies issued by the R&W Insurer or its Affiliates, which provide coverage for the benefit of Buyer or its designee as the named insured for breaches of certain of the representations and warranties set forth in Article III.
R&W Policies has the meaning specified in Section 10.5.

Examples of R&W Policies in a sentence

  • As of the date hereof, Acquiror has “conditionally” bound each of the R&W Policies.

  • For the avoidance of doubt, the foregoing is not intended to limit the survival periods contained in, or otherwise limit Acquiror’s right to pursue any recoveries under, the R&W Policies.

  • The R&W Policies shall have been obtained and are in full force and effect.

Related to R&W Policies

  • D&O Policies has the meaning set forth in Section 8.06.

  • SAP Policies means the operational guidelines and policies applied by SAP to provide and support the Cloud Service as incorporated in an Order Form.

  • R&W Policy means the buyer-side representation and warranty insurance policy as may be issued to Purchaser in connection with this Agreement.
