Sale Period definition

Sale Period has the meaning set forth in Section 7.1(g)(iii).

Examples of Sale Period in a sentence

  • Offers or sales under the Shelf Registration Statement may be made only during a Sale Period.

  • The Purchaser may waive the benefit of this condition by communicating such waiver to the Seller in writing at any time within the Sale Period or on/or before the Primary Transfer Date, as the case may be.

  • Do not aggregate with amounts authorized to be sold at a lower price during the same designated Sale Period.

  • If any stay or other order prohibiting the exercise of remedies with respect to the ABL Priority Collateral has been entered by a court of competent jurisdiction, such ABL Priority Collateral Processing and Sale Period shall be tolled during the pendency of any such stay or other order.

  • Not later than 30 days prior to filing the Shelf Registration Statement with the SEC, the Company shall notify each Holder of its intention to make such filing and request advice from each Holder as to whether such Holder desires to have Registrable Securities held by it or which it is entitled to receive not later than the last day of the first Sale Period occurring in whole or in part after the date of such notice included in the Shelf Registration Statement at such time.

Sale Period has the meaning set out in clause 10.3.10(b);
